General Terms and Conditions of Sale – 3BUTE BV

Article 1 – Definitions

In these general terms and conditions the following terms are understood to mean:

  • 3BUTE : the company 3BUTE BV, established in the Netherlands, trading under the name 3BUTE.

  • Customer : any legal entity or natural person acting in the exercise of a profession or business who enters into an agreement with 3Bute.

  • Agreement : any agreement between 3Bute and Customer with regard to the sale and delivery of products.

  • Products : all goods supplied by 3Bute are offered, including (but not limited to) textiles, tape and other consumables for events and productions.


Article 2 – Applicability

  1. These general terms and conditions apply to all quotations, offers, orders and agreements of 3Bute.

  2. Deviations from these conditions are only valid if they are agreed in writing. 3Bute are confirmed.

  3. General (purchase) conditions of the Customer are expressly rejected.


Article 3 – Offers and agreements

  1. All offers and prices are without obligation, unless expressly stated otherwise.

  2. An agreement is concluded at the moment that 3Bute confirms an order in writing or electronically, or actually executes it.

  3. Obvious errors or mistakes in the offer are binding 3But do not.


Article 4 – Prices

  1. All prices are exclusive of VAT and other government-imposed levies, unless otherwise stated.

  2. Shipping costs will be listed separately and charged to the Customer.

  3. 3Bute reserves the right to change prices. Price changes do not affect existing agreements.


Article 5 – Payment

  1. Payment must be made via the payment methods offered in the webshop.

  2. Payment must be made in full before delivery, unless otherwise agreed in writing.

  3. In the event of late payment, the Customer is legally in default and 3Bute is entitled to charge statutory commercial interest and collection costs.


Article 6 – Delivery

  1. Delivery will take place at the address specified by the Customer.

  2. Delivery times stated are indicative and never fatal deadlines.

  3. Exceeding a delivery time does not entitle the Customer to compensation or termination of the agreement.

  4. The risk of the products passes to the Customer at the time of delivery.


Article 7 – Investigation and complaints

  1. The Customer must check the delivered products immediately upon receipt.

  2. Complaints about visible defects must be reported in writing within 5 working days of delivery.

  3. Complaints about non-visible defects must be reported immediately after discovery.

  4. If a complaint is justified, 3Bute may, at its discretion, replace or credit the product.


Article 8 – Returns

  1. Returns are only possible after prior written permission from 3Bute.

  2. Custom made, cut or special ordered products cannot be returned.

  3. Returns are at the expense and risk of the Customer.


Article 9 – Liability

  1. The liability of 3Bute is limited to the invoice amount of the relevant delivery.

  2. 3Bute is never liable for indirect damage, including consequential damage, loss of profits or business damage.

  3. 3Bute is not liable for damage caused by incorrect or improper use of the products.


Article 10 – Force Majeure

  1. 3Bute is not obliged to fulfil any obligation if it is prevented from doing so by force majeure.

  2. Force majeure means any event beyond the control of 3Bute independent circumstances, including supplier delays, transportation problems, government measures and disruptions.


Article 11 – Retention of title

  1. All delivered products remain the property of 3Bute until the Customer has fully met all payment obligations.

  2. The Customer is not entitled to pledge or otherwise encumber the products as long as ownership has not been transferred.


Article 12 – Intellectual property

  1. All intellectual property rights related to by 3Bute provided information, images and documentation are proprietary 3Bute.

  2. Use of this material without prior written permission is prohibited.


Article 13 – Applicable law and disputes

  1. All agreements are exclusively governed by Dutch law.

  2. Disputes will be submitted exclusively to the competent court in the Netherlands.


Article 14 – Final provisions

  1. If any provision of these terms and conditions is found to be void or voidable, the remaining provisions will remain in full force and effect.

  2. 3Bute reserves the right to change these terms and conditions.
